These General Terms and Conditions of Sale and Delivery apply exclusively to business entities (B2B), legal entities under public law, or special funds under public law within the meaning of Section 310 (1) of the German Civil Code (BGB). Conflicting or deviating terms and conditions of purchasing of the customer shall only be recognized if we explicitly agree to their validity in writing.
Our offers are subject to change and non-binding. A contract is only concluded upon our written order confirmation or upon delivery of the goods. Sample shipments and specimens serve exclusively as a general guide regarding the average quality and specification of the product. They do not constitute a guarantee of specific properties and do not release the customer from performing an incoming goods inspection.
All prices are quoted in Euros net, plus the applicable statutory value-added tax (VAT). Unless individually agreed otherwise, a payment period of 30 days net from the invoice date applies to customers within Germany. If the payment term is exceeded, the customer shall be in default without further notice. In the event of default, we are entitled to charge statutory default interest at a rate of 9 percentage points above the respective base interest rate, as well as dunning fees and compensation for default damages.
Unless otherwise agreed in writing, deliveries within the European Union (EU) are made "Delivered Duty Paid" (DDP according to the Incoterms in their current version). Deliveries outside the EU require an individual written agreement. Goods are predominantly dispatched in non-returnable single-use packaging, which becomes the property of the customer and will not be taken back unless explicitly agreed otherwise.
The customer must inspect the goods immediately upon receipt for completeness, transport damage, and compliance with specifications (e.g., pharmacopoeial monographs) in accordance with Section 377 of the German Commercial Code (HGB). Any defects must be notified to us in writing immediately, at the latest within 5 working days after delivery, and prior to any processing, decanting, or mixing of the product.
The delivered goods remain our property until full settlement of all claims arising from the ongoing business relationship (extended retention of title).
These terms shall be governed exclusively by the laws of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Place of performance and exclusive place of jurisdiction for all disputes arising from or in connection with this contract shall be Düsseldorf (Germany), unless mandatory statutory provisions stipulate otherwise.
